This agreement is made on purchase date between Hey Good Bookin’ LLC© (“Seller”), a limited liability company organized and existing under the laws of the State of Pennsylvania, and Purchaser (“Client”), collectively referred to as the “Parties.”
These legal terms constitute a legally binding agreement made between Seller and Client.

The information provided when using the services & products is not intended for distribution or use by any person or entity in any jurisdiction or country.
- Intellectual property rights
Seller Intellectual Property
Seller is the owner of intellectual property rights in Services & Products including all source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, Excel, PDF, Google Sheets, PowerPoint or Word documents (collectively, the “Content”), as well as the trademarks, service marks and logos contained therein (the “Marks”).
Client Intellectual Property
Subject to your compliance with these Legal Terms, including the “Prohibited Activities” section below, Seller grants you a non-exclusive, non-transferable, revocable license to:
- Access the Services & Products: and
- Download or print a copy of any portion of the Content to which Client has properly gained access
Soley for your internal business purpose.
Except as set out in this section or elsewhere in our Legal Terms, no part of the Service & Products and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed or otherwise exploited for any commercial purpose whatsoever, without Sellers express prior written permission.
Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use Services & Products.
- Prohibited activities
As Client of the Services & Products, you agree to:
- All rights reserved.
- Unauthorized copying, distribution, or reproduction of these Services & Products, Content and Marks.
- Use the Services & Products, Content and Marks as part of any effort to compete with Seller or for any revenue-generating endeavor or commercial enterprise.
- Use the Services & Products, Content and Marks to advertise or sell goods and services.
- Sell or otherwise transfer Services & Products, Content and Marks.
- You may not access or use the Services or Products for any purpose other than that for which Seller made the Services & Products available. The Services & Products may not be used in connection with any commercial endeavors.
This Agreement may not be amended or modified for any reason without the prior written agreement of both Parties.
This Agreement constitutes the entire understanding between the Parties relating to the subject matter hereof unless any representation or warranty made about this Agreement was made fraudulently and, save as may be expressly referred to or referenced herein, supersedes all prior representations, writings, negotiations or understandings with respect hereto.
This Agreement shall be governed by the laws of the State of Pennsylvania without regard to principles of conflict of laws, and the parties agree to submit any and all disputes, claims or controversies whatsoever arising out of or in connection with this Agreement to the exclusive jurisdiction and venue of the federal or state courts located in Luzerne County, Pennsylvania. Client hereby irrevocably and unconditionally agrees to such exclusive jurisdiction and venue, and waives any and all objections thereto.
EXECUTION. Executed by the parties in duplicate on the dates written below. Each Client executing this Agreement warrants that he/she is authorized to bind the other hereto, that all Clients signing this Agreement shall be jointly and severally liable for the performance of all obligations hereunder, and that Seller is entitled to rely upon the authorization or direction of the Client in the Services & Products, Content and Marks contemplated hereunder.
